1. Description of Service

Adssmith is an AI-powered platform for brand analysis and marketing content generation. The Service utilizes third-party AI application programming interfaces (APIs) to generate text and images.

2. Agreement Between You and Adssmith

You acknowledge that these Terms are a contract between you and Adssmith. By using the Service, you agree to be bound by these Terms.

3. Account Registration

You must be at least 13 years old to use this Service.
You are responsible for maintaining the security of your account and password.
You are liable for all activities that occur under your account.

4. Credits and Payments

Credits: Usage of AI features requires "Credits." Credits have no cash value and are non-transferable.
Third-Party Processors: Payments are handled via Stripe or Creem. You agree to their respective terms.
Subscriptions: Some plans may auto-renew. You may cancel at any time via your account settings.

5. Content Ownership and AI Responsibility

5.1 Your Content & IP

Ownership: You own the specific marketing materials generated using the Service.
Responsibility: You are solely responsible for the legality and use of the content you generate. You warrant that your use of the generated content does not infringe upon any third-party intellectual property or rights.
License: You grant Adssmith a worldwide, non-exclusive license to host and process your content solely to provide the Service.

Adssmith does not guarantee the uniqueness or non-infringement of AI-generated content. If any generated content is found to be infringing or illegal, Adssmith will cooperate with the relevant parties to remove such content, but is not liable for the initial generation by third-party models.

6. Prohibited Use

You agree not to use the Service to:

Generate illegal, harmful, defamatory, or infringing content.
Reverse engineer the Service or violate the terms of third-party AI providers.
Submit data you do not have the right to process.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSSMITH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE SERVICE.

IN NO EVENT SHALL ADSSMITH'S TOTAL LIABILITY FOR ALL CLAIMS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO ADSSMITH IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". ADSSMITH DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

9. Indemnification

You agree to indemnify and hold Adssmith harmless from any claims arising from your use of the Service, the content you generate, or your violation of these Terms.

10. Termination

Adssmith reserves the right to suspend or terminate your account at any time for violations of these Terms or for any other reason, without notice or liability.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by the laws of California, United States, without regard to its conflict of law provisions.

11.2 Binding Arbitration

Any dispute arising out of or relating to these Terms shall be settled by binding arbitration on an individual basis. You waive your right to a jury trial or to participate in a class-action lawsuit.

12. Changes to Terms

Adssmith may update these Terms at any time. Your continued use of the Service after changes are posted constitutes acceptance of the new Terms.

The Service uses third-party AI APIs to generate content. Adssmith:

Does not control the output of AI models.
Cannot guarantee the uniqueness or non-infringement of AI-generated content.
Is not responsible for any content that violates third-party rights.
Will cooperate with legitimate removal requests for infringing content.

You are solely responsible for reviewing and ensuring AI-generated content complies with applicable laws and third-party rights before commercial use.
